Welcome to Ai Geko. These Terms and Conditions ("Terms") govern your access to and use of the aigeko.com website and the Ai Geko software-as-a-service platform (collectively, the "Service"). The Service is owned and operated by Stepping Skills Group ("Ai Geko," "we," "us," or "our").

By registering for or using the Service, you ("User," "you," "your") agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

  1. "Service": The Ai Geko platform, including its website, software, APIs, features for WhatsApp campaigns, bot-builder, lead capture, and e-commerce integrations.
  2. "User": The individual or business entity registering for or using the Service.
  3. "End-User": The individual customer or contact of the User with whom the User communicates via the Service.
  4. "Third-Party Services": Any software, platform, or service that integrates with Ai Geko but is not owned by us, including but not limited to WhatsApp, Facebook, Shopify, and WooCommerce.
  5. "User Content": Any data, text, images, or other materials that you create, upload, or transmit through the Service, including your bot flows and campaign messages.

2. Account Registration and Security

  1. You must be at least 18 years old and capable of entering into a binding contract to use the Service.
  2. You must provide accurate, complete, and current information during registration and keep your account information updated.
  3. You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must notify us immediately at support@aigeko.com of any unauthorized use of your account.

3. The Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.

4. User Responsibilities and Acceptable Use

Your use of the Service is conditioned on your compliance with the following rules:

  1. A. WhatsApp & Meta Compliance: You must strictly adhere to all policies of Third-Party Services, especially the WhatsApp Business Policy and WhatsApp Commerce Policy. Any violation of these policies may result in the immediate suspension or termination of your account, often without recourse.
  2. B. End-User Consent (Opt-In): You represent and warrant that you have obtained explicit, verifiable consent (opt-in) from every End-User before contacting them through the Service, as required by law and WhatsApp policy.
  3. C. Prohibited Activities: You agree not to:
  4. Use the Service for any illegal, harmful, or fraudulent purpose.
  5. Send spam, unsolicited messages, or any communication in violation of anti-spam laws.
  6. Harass, threaten, or impersonate any person or entity.
  7. Upload or transmit any material that is defamatory, obscene, or infringing on any third party's intellectual property rights.
  8. Attempt to reverse-engineer, decompile, or otherwise access the source code of the Service.
  9. Share your account with any third party.
  10. D. Your Content and Data: You are solely responsible for all User Content and for your interactions with your End-Users. We act only as a technology provider (Data Processor) for the data you control (Data Controller).

5. Fees, Payments, and Subscriptions

  1. Subscriptions: The Service is provided on a subscription basis. You agree to pay all applicable fees for your chosen subscription plan in advance.
  2. Billing: We will bill you through our third-party payment processor. All payments are non-refundable, except as required by law or at our sole discretion.
  3. Renewals: Your subscription will automatically renew at the end of each billing cycle unless you cancel it in accordance with the cancellation procedure.
  4. Taxes: All fees are exclusive of any applicable taxes (such as GST), which you are responsible for paying.
  5. Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any price changes.

6. Third-Party Services

The Service's functionality depends on its integration with Third-Party Services (WhatsApp, Facebook, Shopify, WooCommerce, etc.).

  1. You are responsible for complying with the terms of all Third-Party Services.
  2. We are not responsible or liable for the availability, performance, or security of any Third-Party Service, nor for any changes they make to their platforms or policies.
  3. Any outage or decision by a Third-Party Service (e.g., WhatsApp blocking your number) is not the responsibility of Ai Geko. We provide the platform; your compliance with their rules is your responsibility.

7. Intellectual Property

  1. Our IP: We own all right, title, and interest in and to the Service, including all software, branding, and proprietary technology. You may not use our brand name "Ai Geko" or aigeko.com in any way that implies sponsorship or endorsement without our prior written consent.
  2. Your IP: You retain all ownership rights to your User Content. You grant us a limited license to use, process, and transmit your User Content as necessary to provide the Service to you.

8. Term and Termination

  1. Term: These Terms become effective when you create an account and remain in effect until terminated.
  2. Termination by You: You may terminate your account at any time by following the procedures in your account dashboard or by contacting support.
  3. Termination by Us: We reserve the right to suspend or terminate your account and access to the Service, with or without notice, if:
  4. You breach these Terms, especially the Acceptable Use policy (Section 4).
  5. You fail to pay applicable fees.
  6. Your use of the Service violates any WhatsApp or Meta policy.
  7. We are required to do so by law or by a Third-Party Service provider.
  8. Effect of Termination: Upon termination, your right to use the Service will cease immediately. We may delete your account and all associated User Content. All provisions of these Terms which by their nature should survive termination shall survive (e.g., payment obligations, disclaimers, liability limitations).

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. AI GEKO MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AI GEKO OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, INCLUDING ANY THIRD-PARTY SERVICE; OR (C) ANY VIOLATION OF WHATSAPP OR META POLICIES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL IN NO EVENT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO US DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ai Geko and its officers, directors, and employees from and against any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) Your use of the Service. (b) Your violation of these Terms. (c) Your violation of any law or the rights of a third party, including your End-Users. (d) Your User Content. (e) Any claim brought against Ai Geko by a Third-Party Service (like Meta/WhatsApp) as a result of your actions.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana.

13. Changes to These Terms

We may revise these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website or by sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
